3. The user acknowledges that all orders placed through the systems are at the user's sole risk. The User further acknowledges that the User's orders may be sent directly to the trading floors of the various exchanges (or to an electronic trading system, if applicable), that there may be minimum capital requirements and limits set by each contract as to the number maximum permitted contracts for orders processed through the Systems, that current limits are subject to change, that contingency orders may not be accepted and that the direct online order placement service may be suspended on the last day of trading of a contract. The User understands that orders submitted directly to trading floors or electronic trading systems may be reviewed by an ordering service, and if the User does not meet the requirements, the User's order may be rejected. 4. Although the Systems may provide access to numerous recommendations on how to invest and what to buy, none of these recommendations will be considered endorsed by ADN BROKER. ADN BROKER does not recommend any investment advisory services or products, nor does ADN BROKER offer any advice regarding the nature, potential value or suitability of any particular transaction or investment strategy. NOTHING IN THIS AGREEMENT SHOULD BE CONSIDERED AS A SOLICITATION OR RECOMMENDATION TO PURCHASE OR SELL ANY INSTRUMENT OR ENGAGE IN ANY TRANSACTION.
5. Upon approval of the User's account:
(a) ADN BROKER will provide the User with an individual password and a user identification code (“Access Codes”). The Access Codes are intended to allow the User to access the User's account and enter purchase and sale orders for the User's account through the Systems, and therefore, the User must maintain confidentiality and avoid the use unauthorized access of Access Codes at all times. User accepts all responsibility for the use and protection of the access codes, including, but not limited to, all orders entered into systems using the access codes and changes to the user's account information that are made. (d) User agrees that his/her use of the systems is at his/her own risk. 6. The User hereby agrees that he or she will use the Systems only for the purpose of placing orders for precious metals contracts, receiving fills and receiving online account statement reviews and the origination of a new user account. Furthermore, the User will not directly or indirectly transact any business that uses the Systems with any of its affiliates; including, without limitation, accepting or countering any offer made by any of its affiliates; and in connection with this, the User agrees that ADN BROKER may take actions, determined in its sole discretion, to prevent such transactions from occurring (but no such actions by ADN BROKER will relieve the User of its obligations as described in this sentence) ;
7. The User hereby agrees that he/she will perform the obligations arising in connection with any transaction completed using the Systems, in accordance with the terms and conditions of such completed transaction.
(a) The user agrees to indemnify and hold harmless ADN BROKER, its affiliates and information providers from and against any and all claims, demands, proceedings, demands and actions, as well as all losses, liabilities, damages , costs and expenses (including, without limitation, attorneys' fees) suffered by ADN BROKER, as a result of or related to any claim, proceeding, demand and action against ADN BROKER arising from the User's violation of this Agreement or the rights of third parties, including, but not limited to, copyright, property rights and privacy. User hereby waives any and all rights that User may independently have to defend, settle or compromise any such claims or demands and agrees to cooperate to the best of its ability with ADN BROKER in connection therewith, but ADN BROKER may , in its sole discretion, authorize and require the User to defend, settle or compromise any claim or demand as it deems appropriate at the cost, expense and responsibility of the User. This indemnification and hold harmless obligation will survive any termination of this Agreement.
(b) ADN BROKER reserves the right to terminate User's access to the Systems in its sole discretion, without notice and without limitation, for any reason, including, but not limited to, unauthorized use of User Access Codes and / or account number(s), breach of this Agreement, or breach or termination of any agreement the User has entered into with ADN BROKER. Upon termination, cancellation or interruption of this Agreement, all rights granted in this Agreement will immediately terminate and revert to ADN BROKER, and User will discontinue use of the Systems and, if applicable, must return or destroy, as requested by ADN BROKER, all software (including all copies thereof).
(c) User agrees to pay all subscription, service and user fees, if applicable, and commissions, for any order executed through the Systems, and agrees that such fees may change without notice. (d) This Agreement is made in User's personal capacity and not on behalf of any company, corporation or other entity, unless User's account is designated as such. User agrees to use the information solely in connection with the user's investment activities and not in connection with any commercial or commercial activities.
(e) All express or implied conditions, warranties or undertakings, whether oral or written, in law or in fact, including warranties of satisfactory quality and fitness for a particular purpose, with respect to the Information or any aspect of Systems (including but not limited to access to information and execution of orders), are excluded to the extent permitted by law.
(f) The User agrees that ADN BROKER may retain and process, by computer or otherwise, any information obtained relating to the User as a result of the User's use of the Systems ("Personal Data"), and ADN BROKER may access and use such information for operational purposes, credit evaluation, statistics, including behavioral analysis, and to identify and provide the User with information about products and services (including those provided by third parties) that may be of interest to the User or DNA. 4. MARGIN AND DEPOSIT REQUIREMENTS. The client will deposit with ADN BROKER collateral or margin in amounts that ADN BROKER, in its sole discretion, may require. Margin requirements will vary depending on the e-commerce system and products traded. ADN BROKER may change margin requirements at any time. Client agrees to deposit by immediate wire transfer such additional margin when and as required by ADN BROKER and will immediately honor all margin calls by such methods as ADN BROKER designates in its sole discretion. ADN BROKER may proceed at any time to liquidate Customer's account in accordance with paragraph 10 below, and any failure by ADN BROKER to enforce its rights hereunder shall not be deemed a waiver by ADN BROKER to enforce their rights thereafter. No collateral or margin prerequisite by ADN BROKER shall prevent ADN BROKER from increasing that requirement without prior notice. Margin calls are conclusive and binding unless immediately objected to in writing. 5. POSITION LIMITATION AND EXTRAORDINARY EVENTS. ADN BROKER reserves the right to limit the quantity and/or the total number of open positions that the Client can acquire or maintain in ADN BROKER. ADN BROKER reserves the right to refuse to accept any order. Prices may exceed the price set in conditional orders, resulting in customers losing more funds than initially anticipated. The client acknowledges that due to such risks, ADN BROKER encourages clients to use market orders instead of conditional orders, as market orders receive a quote and allow clients to accept or reject the new price. Client agrees that ADN BROKER is not responsible for any losses, including margin calls, that occur as a result of conditional orders being filled during a gapped market or orders being filled at certain prices as a result of grayed out prices and / or limitations in market liquidity.
7. EXPANDED SPREADS. Client understands and acknowledges that there may be instances where spreads are widened beyond the typical spreads offered. During volatile markets, such as news announcements, spreads can widen substantially to offset increased market volatility. The client is advised to use extreme caution when trading during increased volatility in the markets, including major news events, as widened spreads can negatively impact all positions in an account, including hedged positions.
8. DATE OF AGREEMENT, ROLLS AND INTEREST. ADN BROKER is authorized, at its absolute discretion, to reinvest or offset all or part of the positions held in CFDs in currencies within the Client's Account(s), held on any electronic trading platform at the Client's risk. . A transferred position may have interest charges credited or debited until the position is closed. All futures CFDs are not reinvested upon contract expiry. ADN BROKER will close all positions upon expiration of the futures contracts and the client may, at its sole discretion, choose to purchase a new contract.
